TERMS AND CONDITIONS

Welcome to Dextrad Technologies. These Terms and Conditions govern your use of our website, products, services, subscriptions and account activation services.

By purchasing a product or subscription, creating an account, making a payment, or using any service provided through Dextrad Technologies, you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions.

1. OUR ROLE

Dextrad Technologies provides assistance with subscriptions, renewals, account activations and related customer services.

Dextrad Technologies does not own, operate or control third-party platforms, including but not limited to Watchlist Pro and Eleph TV.

Accordingly, Dextrad Technologies cannot guarantee and is not responsible for:

– The operation or availability of third-party platforms;
– The availability of specific channels, programmes, media libraries or content;
– Changes made by third-party platform owners or service providers;
– Suspension, modification or termination of third-party services;
– Technical faults, server failures or interruptions caused by third parties.

Third-party platforms and services may change their features, content, availability or requirements at any time without notice to Dextrad Technologies.

2. PAYMENTS AND ACCOUNT ACTIVATION

Accounts and subscriptions will only be activated or renewed after successful payment has been received and confirmed through the payment methods available on the Dextrad Technologies website.

Where PayFast or another authorised payment provider is used, the payment must be successfully processed before activation or renewal can take place.

Customers are responsible for ensuring that all information submitted during registration, ordering or payment is accurate and complete.

Dextrad Technologies cannot be held responsible for incorrect, delayed or unsuccessful activations resulting from:

– Incorrect information supplied by the customer;
– Incorrect account details;
– Incorrect subscription selections;
– Failed or incomplete payments;
– Bank or payment provider delays;
– Technical issues outside our reasonable control.

3. ACTIVATION AND PROCESSING TIMES

Account activations, renewals and related requests are processed during Dextrad Technologies’ normal office hours.

While we aim to process activations and renewals as quickly as reasonably possible, processing times may vary depending on payment confirmation, technical requirements and third-party platform processes.

Customers should not assume that an account will be activated immediately after payment unless specifically stated otherwise.

4. SUBSCRIPTION RENEWALS AND SERVICE CONTINUITY

Customers are responsible for ensuring that their subscriptions remain active.

To reduce the risk of service interruption, we recommend that customers:

– Keep their subscription payments up to date;
– Maintain their subscription at least one month in advance where applicable;
– Enable automatic renewal where this option is available; or
– Where paying manually, make payment at least three (3) days before the subscription expiry date.

Dextrad Technologies cannot guarantee uninterrupted service where payment is late, missed, declined or not successfully processed.

5. AUTOMATIC RENEWALS

Where a customer selects or agrees to an automatically renewing subscription, the subscription may renew automatically according to the selected subscription period and applicable payment arrangements.

Customers are responsible for ensuring that their payment information remains valid and that sufficient funds are available where automatic payments are authorised.

Customers may be responsible for cancelling an automatic renewal before the applicable renewal date where they no longer wish to continue with the service.

6. LOCAL CLOUD ONCE-OFF PAYMENT

Where Dextrad Technologies offers a Local Cloud service or product for a once-off payment, the once-off payment applies only to the applicable Local Cloud access or service as described at the time of purchase.

IMPORTANT CONDITION:

The Local Cloud once-off payment and any associated access, benefits or functionality are provided on the condition that the customer’s required subscription remains active and in good standing on the Dextrad Technologies website.

If the required subscription expires, is cancelled, is not renewed, is suspended, or payment is not successfully received, Dextrad Technologies reserves the right to suspend, restrict or terminate access to the Local Cloud service or any associated benefits.

The once-off Local Cloud payment does not create a lifetime, permanent or unconditional right of access where an active subscription is required as part of the service offering.

Access may be restored, where applicable, once the required subscription has been successfully renewed and any outstanding requirements have been met.

7. NO REFUND POLICY

All payments made to Dextrad Technologies are non-refundable, except where a refund is required by applicable law.

Customers are responsible for checking all subscription, account and order information carefully before completing payment.

By completing a purchase, the customer confirms that they have selected the correct service or subscription.

Dextrad Technologies will not be responsible for refunds resulting from incorrect information, incorrect subscription selections or purchases made in error by the customer, except where otherwise required by applicable law.

8. THIRD-PARTY PLATFORMS AND SERVICES

Certain services activated or supported by Dextrad Technologies may be provided by independent third parties.

Dextrad Technologies does not control these third-party platforms and cannot guarantee that they will operate continuously or without interruption.

Third-party platforms may:

– Change their services;
– Change their available content;
– Remove or add features;
– Experience technical problems;
– Become temporarily unavailable;
– Change compatibility requirements; or
– Discontinue services.

Dextrad Technologies will not be liable for losses or inconvenience caused by changes, interruptions or discontinuation of third-party platforms outside our reasonable control.

9. CONTENT RESPONSIBILITY

Dextrad Technologies does not host, produce or own third-party media content unless specifically stated otherwise.

Customers are responsible for ensuring that their use of any platform, service or content complies with all applicable laws and regulations.

The use of services for piracy, copyright infringement, illegal distribution of content or any other unlawful activity is strictly prohibited.

Customers are solely responsible for the content they choose to access or use and for ensuring that such access or use is lawful in their jurisdiction.

10. PROHIBITED USE

Customers may not use any service provided through Dextrad Technologies for unlawful, fraudulent or abusive purposes.

Customers may not:

– Share account access where this is not permitted;
– Attempt to bypass security or access restrictions;
– Use the service for fraudulent purposes;
– Interfere with the operation of the website or services;
– Attempt to gain unauthorised access to systems or accounts;
– Resell services without written authorisation;
– Use the services in violation of applicable laws.

Dextrad Technologies reserves the right to suspend or terminate access where prohibited or unlawful activity is reasonably suspected.

11. SERVICE INTERRUPTIONS

Although Dextrad Technologies will make reasonable efforts to provide reliable services, uninterrupted availability cannot be guaranteed.

Services may be interrupted due to circumstances including, but not limited to:

– Internet connectivity problems;
– Load shedding or power interruptions;
– Technical failures;
– Server maintenance;
– Payment processing issues;
– Third-party platform problems;
– Software updates;
– Changes made by service providers; or
– Circumstances beyond our reasonable control.

Dextrad Technologies will not be liable for service interruptions caused by circumstances outside its reasonable control.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Dextrad Technologies will not be liable for indirect, incidental, consequential or special damages arising from the use or inability to use our services.

Dextrad Technologies is not responsible for:

– Service interruptions;
– Third-party platform failures;
– Changes to third-party services;
– Changes to content or media libraries;
– Content becoming unavailable;
– Delays caused by late or missed payments;
– Incorrect information submitted by customers;
– Internet or network failures;
– Device compatibility problems; or
– Events outside our reasonable control.

Nothing in these Terms and Conditions excludes or limits any rights that cannot legally be excluded or limited under applicable law.

13. CUSTOMER RESPONSIBILITY

Customers are responsible for:

– Providing accurate information;
– Maintaining the confidentiality of their account credentials;
– Keeping payment details up to date where applicable;
– Renewing subscriptions on time;
– Ensuring that their device and internet connection are suitable for the service;
– Using services lawfully; and
– Reviewing these Terms and Conditions and any updates to them.

Customers should notify Dextrad Technologies as soon as possible if they believe that unauthorised access to their account has occurred.

14. SUSPENSION OR TERMINATION OF SERVICES

Dextrad Technologies reserves the right, where reasonably necessary and subject to applicable law, to suspend or terminate access to services where:

– A payment is unsuccessful or overdue;
– A subscription expires;
– The customer breaches these Terms and Conditions;
– Fraudulent or unlawful activity is reasonably suspected;
– A third-party service is discontinued or becomes unavailable;
– Continued provision of the service becomes technically or commercially impractical; or
– Suspension or termination is necessary to protect the security or operation of our systems.

Where possible and appropriate, Dextrad Technologies may provide notice of significant changes or service interruptions.

15. CHANGES TO SERVICES

Dextrad Technologies may update, modify or improve its website, services, subscription options or processes from time to time.

We may also update these Terms and Conditions when necessary.

The most recent version of the Terms and Conditions will apply to continued use of our website and services after the updated Terms have been published.

16. PRIVACY AND PERSONAL INFORMATION

Dextrad Technologies will process personal information in accordance with applicable privacy and data protection laws.

By using our services, customers acknowledge that certain personal information may be required to process orders, payments, subscriptions, account activations and customer support requests.

Customers should also review our Privacy Policy for further information about how personal information is collected and used.

17. FORCE MAJEURE

Dextrad Technologies will not be liable for delays or failure to perform obligations where such delays or failures are caused by circumstances beyond our reasonable control.

These circumstances may include natural disasters, power failures, internet failures, acts of government, labour disputes, cyber incidents, failures of third-party service providers or other unforeseen events.

18. GOVERNING LAW

These Terms and Conditions shall be governed by and interpreted in accordance with the laws applicable in the Republic of South Africa.

Any dispute arising from these Terms and Conditions or the use of Dextrad Technologies services shall be dealt with in accordance with applicable South African law.
